AI features addendum

This AI Features Addendum shall apply when the Customer uses Attendium's AI Features.

1. Definitions

1.1. Definitions shall have the defined meaning as set out below in this section 1.1 when used with a capital initial letter. Capitalized terms used but not defined in this Addendum shall have the meaning set out in the Terms or the DPA.

"Addendum" means this AI Features Addendum, as may be amended from time to time by Attendium.

"AI Features" means features that Attendium provides and operates which use artificial intelligence or machine learning models to generate output, currently including AI-assisted guest import, and as may be adjusted from time to time by Attendium.

"Attendium" means Attendium AB Reg. No. 556864-9999.

"DPA" means the data processing agreement entered into between Attendium and the Customer.

"Input" means any content that the Customer submits to an AI Feature.

"Output" means any content that an AI Feature generates from Input.

"Terms" means Attendium's Terms of Services, as may be amended from time to time.

2. Scope

2.1. This Addendum supplements, and forms part of, the agreement between the Customer and Attendium consisting of the Terms, the DPA and the Privacy Policy, and applies to the Customer's use of the AI Features.

2.2. Input and Output constitute Customer Content under the Terms.

2.3. This Addendum does not govern the Customer's use of third-party AI tools that the Customer connects to its data (see section 11).

3. Acceptance

3.1. The Customer must accept this Addendum before using the AI Features. Acceptance may be given by an individual user for that user or, by a user with authority to administer the account, for the entire account, in which case it binds all of the account's users.

3.2. If Attendium makes a material change to this Addendum, continued use of the AI Features requires acceptance of the updated version (see section 17).

4. No model training

4.1. Attendium and its AI providers do not use Input or Output to train or fine-tune any AI or machine-learning model, whether Attendium's or a provider's.

5. Review of flagged Output

5.1. When the Customer indicates that an Output is wrong or unsatisfactory — for example by rejecting it, asking to try again, discarding it, reporting it or otherwise flagging a problem — the Customer authorizes Attendium to review the related Input and Output for the sole purpose of diagnosing the problem and improving the AI Features (such as refining prompts and quality checks).

5.2. Attendium processes any personal data in such Input and Output as a processor under the DPA, retains it only as long as needed for the purpose set out in section 5.1 and never uses it to train or fine-tune AI models.

5.3. The Customer may opt out of the review described in this section 5 for its account by emailing support@attendium.com.

6. Accuracy, human oversight and appropriate use

6.1. AI Features are automated and may produce Output that is inaccurate, incomplete, outdated or misleading. Output is provided for the Customer's review and does not constitute professional advice.

6.2. The Customer is responsible for reviewing Output before relying or acting on it — including before importing data, contacting anyone or granting anyone access — and for any decision made using it.

6.3. The Customer may not use the AI Features for purposes that would require a high-risk or otherwise specifically regulated AI system, or as a substitute for professional judgment. Where the Customer interacts with an AI Feature, the Customer is hereby informed that it is interacting with AI.

7. Input and Output rights

7.1. As between the Customer and Attendium, the Customer retains all rights in its Input and, to the extent ownership is possible, owns its Output. The Customer grants Attendium and its AI providers the right to process Input to generate Output and to provide, secure and improve the AI Features as described in this Addendum and the DPA.

7.2. Output is not unique. Attendium and its providers may generate the same or similar output for other customers, and the Customer obtains no exclusive rights in Output.

7.3. Attendium does not warrant that Output is original or non-infringing and provides no intellectual-property indemnity for Output. The Customer is responsible for reviewing Output and for its use of it.

8. Customer's responsibilities for Input

8.1. The Customer represents and warrants that it has all rights, consents and a lawful basis required to submit its Input — including any personal data of third parties and any data relating to children contained in it — to Attendium and its AI providers, and to have it processed to generate Output.

8.2. If the Customer deliberately includes special categories of personal data or otherwise sensitive personal data in the details it intends an AI Feature to process (for example a dietary or accessibility note), such data is governed by the Terms and the DPA in the same way as if the Customer had entered it manually, and the Customer is responsible for having the necessary consent or legal basis for it.

8.3. The Customer may not otherwise use the AI Features to identify, extract or infer sensitive personal data, and shall take reasonable steps to keep sensitive details that it does not intend to process out of its Input.

8.4. The AI Features are designed to extract or generate only the information the Customer asks for, are instructed never to infer or derive characteristics that the Customer did not explicitly include, and process the remainder of the Input only transiently (see section 12).

8.5. The Customer is responsible for providing any notice or transparency to individuals that applicable law requires. The Customer's obligations and indemnity for Customer Content under sections 10.1 and 10.2 of the Terms apply to Input.

9. Acceptable use of AI Features

9.1. In addition to section 7 of the Terms, the Customer may not: (i) use AI Features to create unlawful, infringing, harmful or deceptive content; (ii) use Input or Output to build, train or improve a competing AI model or service; (iii) reverse engineer, or attempt to discover, the underlying models, weights or prompts of the AI Features; (iv) attempt to manipulate, bypass or defeat the AI Features' safety or instruction safeguards; or (v) violate the applicable usage policies of the AI providers that power the AI Features.

10. AI providers and sub-processors

10.1. Attendium uses third-party providers as sub-processors to provide the AI Features. Such sub-processors are engaged, disclosed, updated and subject to objection in accordance with section 9 of the DPA, which also governs the location of processing and any transfers of personal data to third countries (section 10 of the DPA).

11. Third-party AI tools

11.1. This Addendum does not cover AI tools or assistants that the Customer connects to its Attendium data (for example via Attendium's MCP server). Attendium operates no AI model in providing such access. The Customer's use of such tools is governed by the Terms and by the Customer's agreement with the relevant AI provider, and the Customer is responsible for the tools it connects and the data that flows to them.

12. Data protection and retention

12.1. Personal data in Input and Output is processed in accordance with the DPA and the Privacy Policy.

12.2. Input is retained only transiently and is deleted automatically shortly after processing, unless the Customer has flagged the related Output (section 5), in which case the related Input and Output are retained only as long as needed for the review and are then deleted.

12.3. Output accepted by the Customer becomes part of the Customer Content in the Customer's account and can be managed and deleted like other data in the Services.

13. Beta features, changes, limits and suspension

13.1. AI Features may be offered on a preview or beta basis, may be changed or withdrawn at any time and are provided without any availability or service-level commitment.

13.2. Attendium may apply usage and rate limits to the AI Features and may suspend or restrict the AI Features to address misuse or to protect the Services or other customers.

14. Fees

14.1. AI Features may be included with, or limited within, the Customer's subscription plan. Attendium may introduce fees, usage allowances or credits for AI Features, subject to notice in accordance with section 13 of the Terms.

15. Feedback

15.1. If the Customer chooses to provide Attendium with feedback or suggestions regarding the AI Features, Attendium may use such feedback without restriction or obligation to the Customer. Feedback does not include, and the Customer may not include in it, any Customer Content or personal data.

16. No additional warranties and limitation of liability

16.1. The AI Features and Output are provided "as is" and "as available". The warranty disclaimers in section 5 of the Terms apply to the AI Features and Output.

16.2. The limitation of liability in section 14 of the Terms applies to the AI Features and Output. Nothing in this Addendum increases Attendium's aggregate liability under the Terms.

17. Relationship to other agreements and amendments

17.1. This Addendum supplements the Terms, the DPA and the Privacy Policy. In the event of conflict, this Addendum shall have precedence with regard to AI-specific matters, the DPA with regard to the processing of personal data, and the Terms otherwise.

17.2. Attendium reserves the right to amend this Addendum in accordance with section 17.1 of the Terms. Material changes require acceptance of the updated Addendum before continued use of the AI Features; other changes take effect upon notice in accordance with section 13 of the Terms.

18. Applicable law and dispute resolution

18.1. This Addendum shall be governed by, and any disputes shall be resolved in accordance with, section 18 of the Terms, without prejudice to any mandatory rights of Customers that are consumers.
